Terms and Conditions of Use and Sale 

General

The following Terms and Conditions of Use and Sale ("Agreement") serve as a reference guide to provide the Customer (“You”) with a concise and comprehensive understanding of the policies and procedures for creating an online account (“Account”) and purchasing precious metals goods (“Goods”) – gold, silver and platinum - from GoldSilver Central Pte. Ltd. (“GoldSilver Central”, “GSC”, "Company" or "we" or "us").  These terms and conditions apply to all transactions and dealings between You and GoldSilver Central regardless of the method of transaction used.

This Agreement pertains to your interaction with and use of the website (goldsilvercentral.com.sg) owned and operated by us, through which this Agreement is accessed, including any successor website(s), all services provided through the website, and the content thereof (collectively referred to as the "Website"). 

These terms and conditions supersede any previous terms and conditions You may have entered with us. Any previous obligations entered with the company will be treated as if the present terms and conditions apply.

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any action by either party which does not comply with Singapore laws shall be deemed void. Any dispute arising out of, or in connection with this Agreement, shall primarily be subject to mediation between the parties and if not resolved be referred to and resolved by arbitration in Singapore in accordance with the arbitration rules of the Singapore International Arbitration Centre.

Acceptance of Terms:

1. By utilizing this Website, You affirm that You have reached the legal age and possess the legal capacity to agree to these terms and conditions, thereby binding yourself to this Agreement.
2. By accessing and using the Website and upon creating an Account, You agree and accept all the terms and conditions of this Agreement, including, without limitation, the terms and conditions provided and any additional rules and guidelines that we post on the Website.
3. Upon the generation of a sale or purchase order, You engage in a legally enforceable contract with GoldSilver Central Pte. Ltd., to which You are agreeing to adhere to the stipulated terms.
4. GoldSilver Central reserves the right to amend this Agreement from time to time. The Agreement deems to take effect once it is updated on the Website.  This Agreement does not affect any mandatory and/or statutory rights that You have as a consumer under the SPCA Singapore Consumer Protection (Fair Trading) Act.

Binding Agreement and Price Confirmation

1) You enter a binding contract with us, that is irrevocable, at the time that You make an order, whether placed over the counter at our office, by phone, email or through our Website. 

All sales are final and irreversible and are subject to these terms and conditions.  Any loss suffered by GoldSilver Central will be charged to the Customer if they purport to withdraw from the offer.

2) Upon making an online order, a detailed order confirmation e-mail will be sent to You from GSC within one business day (“Order Confirmation”). 

The receipt of an Order Confirmation from GSC means that You have entered into a binding agreement to purchase bullion at the specified price. The price at which your order is submitted is being referred to as a “Locked-in price”. To prevent any confusion, proof of sending the email is evidence of receipt, unless a delivery failure notification is received by GSC within six hours of sending the Order Confirmation.

3) The prices published on our Website are live and are subject to volatility or fast moving, the pricing of your particular order will be fixed at the time when Order Confirmation is issued. It is based on a premium over the spot price for purchases and a premium below the spot price for sales.

4) GSC reserves the right to decline any transaction or order, in whole or in part, at our sole discretion, without your consent and without liability or recourse against GSC. Such decisions may stem from various factors, including but not limited to limitations on available quantities, inaccuracies in product or pricing details, doubts arise regarding the accuracy of the Customer information obtained, the presence of potential or suspected fraudulent activity etc.

 5) GoldSilver Central reserves the right to correct any trading or administrative errors which are shown on the invoice at any time subject to giving You notice. You agree to accept without limitation the price on the corrected invoice.

Payment and Default

1. The currency, unless clearly otherwise stated, for any transaction is Singapore Dollars (SGD).
2. Payment terms of the contract for the purchase of products by You are within 30 minutes from the time of processing unless otherwise agreed by us in writing. Non-payment within the specified period will result in a default by the Customer and You will be subjected to market loss policy and an admin fee of $50 which is subjected to GST.
3. The full purchase price for any product, commissions, fees and charges in connection with your account must be paid by the settlement date/time or at an earlier time as required by GSC.
4. As a measure to prevent money laundering, GSC does not accept any third-party payment.
5. GoldSilver Central accepts payments in the forms:

(a) Cash on collection in SGD only. We do not accept USD in cash.

(b) Cashier's cheque in either SGD or USD.

(c) Personal Cheque deposit in either SGD or USD (Please cross your cheque and write the invoice number on the reverse side. The cheque is payable to GoldSilver Central Pte Ltd).

(d) International Wire or wire transfer in either SGD or USD.

Market Loss Policy

Once an order is submitted and a confirmation number (invoice number) is given, the transaction is valid and it may not be cancelled unless the individual is willing to bear the difference in the ask price based on our current ask price, if any, and an additional SGD$50.00 cancellation fee. Any market gain in price will not be refunded.

Pickup of bullions

1. Orders are ready for pickup at our retail store upon payment confirmation.

2. The collection period is set at two weeks from the date of the order, with any delays beyond this timeframe incurring an Uncollected Order Fee of 1% of the total order value per annum. 

3. If items remain uncollected after 6 months, GSC reserves the right to sell them at the prevailing buyback rate. Any proceeds will be credited to the client's account after deducting the Uncollected Order Fee.

Your Ledger Account

Customers with advance payment with GSC shall have the amount reflected in their Cash Ledger Account with GSC.  Should your GSC Ledger Account have any funds credited erroneously, You accept the responsibility to advise us when becoming aware of it and agree to cooperate in the re-assignment of such funds to the rightful depositor.

Unidentifiable Funds

Where GSC is unable to identify the Ledger account to be credited, and it is not possible to return the funds to their source, Customer’s funds remaining in our suspense account for a period of 5 years or more may – at GSC's discretion - be accumulated and irrevocably be designated to any contribution that GSC deemed fit.

Limited Liability

1. GoldSilver Central is not responsible for any loss or liability incurred by You that is in connection with any dealing or transaction with us, contemplated or actual.

However, if it is determined that GSC is liable to You in connection with any transaction pursuant to this Agreement, the liability to GSC shall be limited to the amount You paid in such transaction and GSC shall not be liable for any consequential, exemplary or indirect damages.

  2. Any information provided by GoldSilver Central including but not limited to any information posted on our Website is general in nature and not advice. We will not be liable for any loss or damage caused by reliance on information obtained in any of our newsletters, literature, reports, e-mail correspondence, Website, or any other communication from GSC. Moreover, GSC will not incur liability for errors or omissions in such communication.

  3. GSC reserves the right to modify any product or service information contained on our Website or in any publication without notifying current or prospective subscribers or Customers.  In no event shall GSC be held liable for any indirect, special, incidental or consequential damages arising from the use of the information contained on our Website or in any publication.

  4. GSC is not liable for failure to perform its obligations if such failure is a result of a superior or irresistible force or Act of God that cannot be reasonably anticipated or controlled.

Warranty, representation and acknowledgement

1. You confirm that all information provided by You in the course of your dealing with GSC is complete, accurate, correct and is not misleading. We may rely on the information provided by You until we receive written notification that your information has changed. Any such variation to your information will be covered by this confirmation.
2. You confirm that You have sufficient knowledge and experience to make informed decisions about your transaction with us and if not, that You have received independent professional advice from a party qualified to provide such advice.
3. You confirm that You are aware that investment in precious metals is a risk and that it does not necessarily guarantee a profit or yield, and that in some instances the value of your investment may decline. You have assessed these risks with regard to your personal circumstances prior to entering a contact with GSC.
4. You confirm that You are making your own decision in connection with the transaction with us and that GSC has not provided any recommendation or personalised advice in relation to the transaction. 
5. You confirm that You (as a Customer) is solely responsible for understanding and complying with all laws, rules and regulations in the jurisdictions applicable to You.
6. You hereby declare that You are acting for yourself and are the owner of the funds (used to pay for the Goods in the event of purchasing from GSC) or of the Goods (in the event of selling to GSC).
7. You confirm that at all times during your business dealings with GSC You are and will be in a position to meet all your commitments and obligations that relate to these dealings.
8. You acknowledge that we do not offer refund or exchange of products once purchased for any reason whatsoever.
9. You accept that it is your responsibility to make sure that any instructions given to GSC, are in accordance with the law.
10.  You accept that any costs incurred by GSC relating to the recovery of any final amounts owing and any other third party charges, taxes or fees levied on us in connection with our transaction with You will be reimbursed in full by You.
11. You confirm that You will compensate and indemnify us in respect of any or all losses, claims and expenses incurred by us as a result of your defaulting on your contractual obligations, including any losses incurred by exiting any hedging positions taken by us as a result of your contract.
12. You acknowledge that GSC may refuse to accept or fulfil any further orders from You for our products or services in the event of your default.
13. You agree to indemnify, defend and hold us and our partners, attorneys, staff and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of the Website.
14. You agree to let us use your data/information for the purpose of facilitating marketing initiatives when deemed fit.
15. GSC acknowledges that at all times we will endeavour to deal fairly and in due turn with all orders to buy and sell products.
16. GSC hereby warrants that all Goods are of a 100% metal purity of the goods described on the Website, and available for purchase.

Termination

You or GSC may terminate this Agreement, with or without cause, at any time by written notice to the other party. The termination shall not affect the rights or obligations of You and GSC with respect to the period prior to termination. 

Copyright 

The content, organization, graphics, design, audio, animation, video, compilation, digital conversion and other matters related to the Website are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by You of any such matters or any part of the Website is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Website. The posting of information or materials on the Website does not constitute a waiver of any right in such information and materials.

Collection of Data and Privacy

By Acceptance of this Agreement, You hereby agree to the collection and storage of your personal data. 

All data supplied to us is for administrative and regulatory purposes and is maintained with the utmost care and strictest confidence to avoid any misuse or alteration. 

As a promise to uphold your privacy, the personal data/information will strictly not be disclosed to any third parties without your written consent and acknowledgement, unless required by law.
